1. INTRODUCTION

1.1 These Terms of Service and Membership Terms (the “Terms”) govern your access to and use of the UWELL CREW website, membership program, points program, referral program, rewards catalog, product registration features, user-generated content features, and related services (collectively, the “Program”).

1.2 By accessing, registering for, or participating in the Program, you agree to be bound by these Terms and any policies incorporated by reference, including the Privacy Policy and any applicable Program rules.

1.3 The Program is operated by Shenzhen UWELL Technology Co., Ltd. (“UWELL”, “we”, “us”, or “our”).

1.4 These Terms replace and supersede all prior terms, understandings, or communications relating to the Program to the extent of any inconsistency.

1.5 If you do not agree to these Terms, you must not access or participate in the Program.


2. DEFINITIONS

2.1 “Account” means your registered UWELL CREW user account.

2.2 “Member” means an individual whose Account has been accepted into the Program.

2.3 “Points” means promotional loyalty units issued by UWELL under the Program, which have no cash value and are not legal tender.

2.4 “Rewards” means eligible non-vaping merchandise, branded accessories, membership benefits, or other non-vape items made available by UWELL in the Rewards Catalog.

2.5 “Excluded Jurisdiction” means Quebec, British Columbia, Prince Edward Island, Nova Scotia, Yukon, Nunavut, and Northwest Territories.

2.6 “UGC” means reviews, comments, photos, videos, testimonials, and other content submitted by users.

2.7 “Product Registration” means the submission of product, purchase, or identifier information for verification, support, warranty, authenticity, anti-fraud, or Program administration purposes.


3. ELIGIBILITY

3.1 The Program is open only to individuals who are residents of an eligible Canadian province and who are of legal age to purchase vaping products in their province or territory of residence.

3.2 Residents of Excluded Jurisdictions are not eligible to join the membership, earn Points, redeem Rewards, participate in referral activities, or enter sweepstakes, contests, or similar promotions offered through the Program.

3.3 Residents of Excluded Jurisdictions may only access public-facing content that UWELL makes available, such as news, educational materials, and passive UGC browsing.

3.4 UWELL may request proof of age, proof of residency, or other eligibility information at any time, and may deny, suspend, restrict, or terminate participation where eligibility cannot be verified or is no longer satisfied.

3.5 The Program is intended only for personal, lawful, and non-commercial use.


4. ACCOUNT REGISTRATION AND SECURITY

4.1 To participate in the Program, you must create an Account and provide accurate, current, and complete information.

4.2 You must promptly update your Account information if it changes.

4.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account.

4.4 You must notify UWELL immediately of any unauthorized use of your Account or any security breach.

4.5 UWELL may refuse registration, suspend access, or terminate an Account if we reasonably suspect fraud, abuse, misrepresentation, duplicate accounts, unauthorized automation, or other improper conduct.


5. MEMBERSHIP PROGRAM

5.1 The Program may include membership tiers, including Explorer, Insider, and Ambassador, or such other tier names as UWELL may designate from time to time.

5.2 Tier eligibility, thresholds, status duration, and benefits are determined by UWELL in its discretion and may depend on Points accumulation, engagement activity, or other qualifying criteria.

5.3 Tier benefits are promotional in nature, are not guaranteed, and may be modified, replaced, suspended, or removed in accordance with these Terms.

5.4 Membership confers no ownership right, vested right, or continuing entitlement in any tier, benefit, Points balance, or Reward.


6. POINTS PROGRAM

6.1 Points may be awarded only for activities specifically authorized by UWELL, including eligible product registration, eligible referral actions, eligible campaigns, surveys, or other engagement activities identified by UWELL.

6.2 Points are promotional units only, have no cash value, are not legal tender, are not property, and cannot be redeemed for cash or cash equivalents.

6.3 Points may not be sold, transferred, assigned, gifted, pooled, inherited, pledged, or otherwise exchanged except where UWELL expressly permits otherwise in writing.

6.4 UWELL may set, revise, limit, or discontinue Point-earning rules, Point values, earning caps, category exclusions, or other Point mechanics on a prospective basis.

6.5 Points awarded in error, through technical malfunction, through fraudulent conduct, or in violation of these Terms may be reversed, cancelled, or adjusted at any time.

6.6 If an Account is suspended, terminated, closed, or rendered ineligible, associated Points may be frozen, cancelled, or forfeited to the extent permitted by applicable law.


7. REWARDS PROGRAM

7.1 Points may be redeemed only for Rewards listed by UWELL in the Rewards Catalog and only in accordance with the redemption rules applicable at the time of redemption.

7.2 Rewards may include only non-vaping merchandise, branded accessories, lifestyle items, service benefits, event benefits, or other non-vape items designated by UWELL.

7.3 Points may not, under any circumstances, be redeemed for electronic cigarettes, vape devices, nicotine-containing products, tobacco products, cash, stored value, gift cards functioning as cash equivalents, or any item prohibited by applicable law.

7.4 All Rewards are subject to availability, quantity limits, verification, shipping restrictions, provincial restrictions, and fulfillment limitations.

7.5 UWELL may substitute a Reward with an item of equal or greater approximate value where a listed Reward becomes unavailable, impracticable to supply, or restricted for legal, operational, or inventory reasons.

7.6 Unless expressly stated otherwise, Rewards are final, non-refundable, non-returnable, non-exchangeable, and not replaceable if lost, stolen, damaged, or misdirected after shipment.

7.7 You are responsible for ensuring that your shipping and contact information is accurate and complete at the time of redemption.

7.8 Taxes, duties, delivery charges, or other charges associated with a Reward may be allocated as stated in the applicable Reward description or redemption flow.

7.9 UWELL may decline or cancel a redemption where eligibility, age, province, identity, fraud screening, inventory, or legal compliance cannot be satisfactorily confirmed.

8. PRODUCT REGISTRATION

8.1 Members may be permitted to register eligible products by providing product identifiers, serial numbers, purchase information, proof of purchase, retailer details, photos, or other information requested by UWELL.

8.2 Product Registration may be used for authenticity checks, warranty support, anti-fraud review, Program administration, customer service, safety communications, and other purposes described in the Privacy Policy.



8.3 Product Registration does not guarantee eligibility for Points, Rewards, warranty coverage, or any other benefit unless expressly stated by UWELL.

8.4 UWELL may reject, reverse, or invalidate any Product Registration that is incomplete, duplicated, altered, suspicious, previously used, associated with unauthorized channels, associated with tampered products, or otherwise non-compliant.

8.5 UWELL may limit the number of registrations, registrations per product, registrations per household, registrations per device, or Points awarded per product or campaign.

8.6 Fraudulent, misleading, automated, or abusive Product Registration activity may result in rejection of submissions, cancellation of Points, suspension of benefits, or termination of the Account.

9. REFERRAL PROGRAM

9.1 UWELL may offer referral opportunities to eligible Members subject to separate campaign rules, qualification criteria, and anti-abuse controls.

9.2 Referral rewards, if any, are awarded only when all stated referral conditions are satisfied, including any age, residency, account creation, verification, or activity requirements established by UWELL.

9.3 UWELL may refuse, reverse, or withhold referral credit where we reasonably believe that referrals are self-referrals, duplicate referrals, bot-generated, misleading, abusive, or otherwise non-genuine.

9.4 You must not use the Referral Program in a manner that violates applicable law, including Canada’s Anti-Spam Legislation, and you must not send unlawful commercial electronic messages through or in connection with the Program.



9.5 Any referral-related electronic communication sent by UWELL will be governed by UWELL’s applicable consent, identification, and unsubscribe requirements under Canadian law.


10. USER-GENERATED CONTENT

10.1 Members may be permitted to submit UGC through the Program.

10.2 You represent and warrant that any UGC you submit is accurate to the best of your knowledge, does not violate any law, does not infringe any third-party rights, and that you have obtained all rights, permissions, and consents necessary for UWELL to use that UGC as described in these Terms.

10.3 By submitting UGC, you grant UWELL a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, modify, adapt, publish, translate, distribute, display, perform, and create derivative works from the UGC in connection with the Program, marketing, advertising, analytics, product improvement, and commercial operations.

10.4 To the extent permitted by law, you waive any moral rights or similar rights you may have in the UGC in favour of UWELL and its permitted successors, assigns, and licensees.

10.5 UWELL may monitor, moderate, reject, remove, or disable any UGC at any time and for any reason, including for legal, safety, reputational, operational, or policy reasons.

10.6 UWELL is under no obligation to publish, retain, credit, compensate, or return any UGC.


11. COMMUNICATIONS AND CASL CONSENT

11.1 By creating an Account or participating in the Program, you agree that UWELL may send you transactional or relationship communications relating to your Account, Product Registration, Rewards, security, legal notices, service messages, or Program administration where permitted by applicable law.

11.2 UWELL will send marketing or promotional electronic messages, including email and SMS messages, only where UWELL has the consent required by applicable Canadian law or another lawful basis recognized under that law.

11.3 Any commercial electronic message sent by UWELL will include the sender’s identification information, prescribed contact information, and an unsubscribe mechanism where required by law.

11.4 You may withdraw marketing consent at any time through an unsubscribe link, other prescribed unsubscribe mechanism, or available account settings, and UWELL will process that request in accordance with applicable law.



11.5 Withdrawal of marketing consent does not affect UWELL’s ability to send non-marketing communications necessary for account servicing, compliance, security, or Program administration where permitted by law.

11.6 UWELL may maintain records relating to consent, withdrawal of consent, message preferences, and communication history for compliance and evidentiary purposes.


12. POINT EXPIRY AND ACCOUNT INACTIVITY

12.1 Points do not expire solely because a period of time has passed since they were earned.

12.2 However, if your Account remains inactive for a continuous period of twelve (12) months, meaning no Point-earning activity and no Point-redemption activity occurs during that period, UWELL may close the inactive Account or cancel associated Points if this rule is permitted by applicable law and applies to your membership agreement.

12.3 Where required by applicable law or where UWELL elects to do so, UWELL will provide advance notice before Points are cancelled due to inactivity.

12.4 If your Account is closed at your request, or terminated for fraud, abuse, ineligibility, or violation of these Terms, Points may be forfeited to the extent permitted by law.


13. PROGRAM CHANGES, SUSPENSION, AND TERMINATION

13.1 UWELL may modify, suspend, restrict, or terminate all or part of the Program for business, legal, operational, security, anti-fraud, technical, or compliance reasons.

13.2 Where a change has a material adverse effect on Members, UWELL will provide reasonable notice unless immediate action is required for legal compliance, fraud prevention, security, technical integrity, or urgent operational necessity.

13.3 UWELL may correct errors, recalculate balances, reverse transactions, cancel Rewards, or adjust Points where necessary to address pricing errors, fulfillment issues, technical errors, abuse, or non-compliant activity.

13.4 Continued participation in the Program after an update takes effect constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

13.5 If the Program is terminated, UWELL may set a deadline for redemption of outstanding Points, subject to applicable law, after which unused Points may be cancelled.


14. PROHIBITED CONDUCT

14.1 You must not misuse the Program, including by fraud, deception, false identity, false residency claims, multiple accounts, scripted activity, credential sharing, abuse of promotions, interference with system integrity, or unlawful conduct.

14.2 You must not attempt to obtain Points, Rewards, or membership benefits through unauthorized channels, resale channels, tampered products, manipulated data, or any activity contrary to these Terms.

14.3 You must not upload, submit, or transmit content that is unlawful, defamatory, infringing, misleading, harmful, obscene, or otherwise objectionable.

14.4 UWELL may investigate suspected misconduct and may cooperate with regulators, law enforcement, courts, service providers, and other relevant parties as permitted or required by law.


15. PRIVACY

15.1 UWELL collects, uses, discloses, stores, and safeguards personal information in accordance with applicable privacy law and the UWELL CREW Privacy Policy.

15.2 UWELL maintains privacy policies and practices and makes them available as required by Canadian privacy law.

15.3 Questions, complaints, access requests, or correction requests relating to personal information may be directed to UWELL’s Privacy Contact or Privacy Officer identified above or in the Privacy Policy.

15.4 Your use of the Program is also subject to any cookie, tracking, consent, and preference controls made available by UWELL from time to time.


16. DISCLAIMER OF WARRANTIES

16.1 To the maximum extent permitted by law, the Program is provided on an “as is” and “as available” basis.

16.2 UWELL does not warrant that the Program will be uninterrupted, error-free, secure, available at all times, or free from delay, loss, corruption, or unauthorized access.

16.3 To the maximum extent permitted by law, UWELL disclaims all representations, warranties, and conditions not expressly set out in these Terms, whether express, implied, statutory, or collateral.


17. LIMITATION OF LIABILITY

17.1 To the maximum extent permitted by law, UWELL and its affiliates, directors, officers, employees, agents, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Program.

17.2 To the maximum extent permitted by law, UWELL is not liable for delays, failures, losses, or damages caused by technical malfunction, system outage, shipping failure, third-party service interruption, unauthorized access, data corruption, fraud by others, or events outside UWELL’s reasonable control.

17.3 Nothing in these Terms limits liability where such limitation is prohibited by applicable law.


18. INDEMNIFICATION

18.1 You agree to indemnify, defend, and hold harmless UWELL and its affiliates, directors, officers, employees, agents, contractors, and service providers from and against claims, losses, damages, liabilities, penalties, costs, and expenses arising out of or relating to your breach of these Terms, your misuse of the Program, your violation of law, or your infringement of any third-party rights.


19. STATUTORY RIGHTS

19.1 Nothing in these Terms is intended to exclude, restrict, waive, or limit any consumer rights or remedies that cannot lawfully be excluded, restricted, waived, or limited under applicable law.

19.2 If any provision of these Terms conflicts with mandatory consumer protection law, that mandatory law will prevail to the extent of the conflict.


20. GOVERNING LAW AND DISPUTES

20.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, unless mandatory law in your province of residence requires otherwise.

20.2 You agree that any dispute arising from or relating to the Program will be brought before the courts of Ontario, unless applicable law provides otherwise or prohibits such a requirement.


21. GENERAL

21.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

21.2 UWELL’s failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

21.3 You may not assign, transfer, or delegate your rights or obligations under these Terms without UWELL’s prior written consent.

21.4 UWELL may assign or transfer these Terms or any rights or obligations under them as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.

21.5 These Terms, together with the Privacy Policy and any applicable Program-specific rules or notices, constitute the entire agreement between you and UWELL regarding the Program.

21.6 Electronic acceptance of these Terms has the same force and effect as a signed written agreement.
